Public Offer (Terms of Service)

Last updated

This document is a public offer by Saveliy Yudin, a self-employed individual under the Russian professional income tax regime, TIN 772747496179 (the “Provider”), to enter into an agreement for access to the paid features of the Tetiva service. Paying for a subscription constitutes full acceptance of these terms. This is an informational translation: the Russian version of this offer is the legally binding one and prevails in case of any discrepancy.

1. Definitions

Service — the cloud and team features of Tetiva available via tetiva.app and the Provider's server infrastructure: cloud sync, organizations, shared workspaces, access management, and the self-hosted server software in the Business edition.

Client — the Tetiva desktop application. It is distributed free of charge under the MIT license and is not covered by this agreement.

Subscription — the paid right to use the Service within the selected Plan for the paid period. Plan — the set of features, limits and the price published on the tetiva.app pricing page.

User — an individual or legal entity that has accepted this offer.

2. Subject

The Provider grants the User access to the Service under the selected Plan, and the User pays for the Subscription. No exclusive rights to the Service are transferred to the User.

Free plans (Free, Self-hosted Community) are provided as is without concluding this agreement; the agreement covers paid Subscriptions only, from the moment they actually become available for purchase.

3. Prices and payment

Prices are listed on the pricing page in Russian rubles, US dollars or euros and are final. The User chooses the currency when taking out a Subscription.

Payments in rubles are taken by the YooKassa payment service: by bank card, via SBP or by other methods it offers; legal entities may pay for an annual Subscription by invoice. Payments in US dollars and euros are taken by the lava.top payment platform on its own payment page; lava.top's terms govern the payment itself and do not change the terms of this offer.

A Subscription paid in rubles may renew automatically for the same period from the saved payment method. A Subscription paid through lava.top renews automatically for the same period in the same currency; lava.top makes the charge. Auto-renewal can be turned off at any time before the next charge under Billing at app.tetiva.app, and for a Subscription paid through lava.top also under My purchases on lava.top. Access then continues until the end of the paid period; turning off auto-renewal is not by itself a refund request under section 5.

The Provider applies the Russian professional income tax regime and issues the receipts that regime requires; a receipt is provided to the User as the law prescribes. For payments through lava.top, lava.top also sends the User its own payment confirmation.

The Provider may change Plans no more than once a year, with at least 60 days' notice before the changes take effect. New prices apply only to new Subscription periods; a paid period is not revised.

4. Access

Paid features are activated after payment confirmation, normally immediately and no later than within 24 hours. The Business edition is provided under a separate contract, which sets the terms and timing of its delivery.

Target availability of the cloud Service is 95% of the time per calendar month. Scheduled maintenance the User was notified of in advance is not counted.

Services for a billing period are deemed properly provided unless the Provider receives a reasoned objection at support@tetiva.app within 5 business days after the period ends.

5. Refunds

A consumer may withdraw from a Pro or Team Subscription without giving a reason within 14 calendar days of the first payment (30 calendar days for an annual Subscription) by writing to support@tetiva.app, and get that payment back in full.

In other cases a consumer may cancel the Subscription at any time; the refund is proportional to the unused period, less the Provider's actual costs.

If the Service is unavailable through the Provider's fault beyond the declared level, the fee for the period of unavailability is refunded in full.

For legal entities a paid Subscription is non-refundable, except where the Service was unavailable through the Provider's fault.

Refunds are made by the original payment method within 10 calendar days of receiving the request at support@tetiva.app. A payment taken by lava.top is refunded by the Provider through lava.top in the original currency. The time the money takes to arrive depends on the User's bank or payment system; fees and exchange-rate differences on the User's side are not reimbursed.

6. Intellectual property

Exclusive rights to the Service, the Business edition server software, trademarks and site materials belong to the Provider. The Client is licensed separately under the MIT license.

The User may not resell access to the Service, pass license keys to third parties or circumvent the technical limits of a Plan. The User's data and collections remain the User's property.

7. Liability

The Service is provided “as is” and “as available”. The Provider does not guarantee that the Service will meet all of the User's expectations or work continuously and without errors.

The Provider's aggregate liability under the agreement is limited to the amount actually paid by the User for the last billing period. The Provider is not liable for indirect damages, lost profits or the contents of the User's data.

The User is responsible for keeping their account credentials safe and for their data complying with the law.

8. Personal data

Personal data is processed in accordance with the Privacy Policy published on tetiva.app. Accepting this offer confirms that the User has read it.

To take a payment, the Provider passes the amount, the selected Plan and technical payment IDs to the payment service, and to lava.top also the User's email address. The User enters bank card details on the payment service's page; the Provider never receives them.

9. Term and termination

The agreement is effective from acceptance until the end of the paid Subscription period. The User may stop using the Service at any time; refunds are governed by section 5.

The Provider may suspend or terminate access if the User breaches the agreement, notifying the User by email. When access is terminated, the User is given at least 30 days to export their data.

10. Disputes

A mandatory pre-trial claim procedure applies: a claim is answered within 30 calendar days of its receipt at support@tetiva.app.

The agreement is governed by Russian law; a consumer habitually resident in another country keeps the protection of the mandatory laws of that country. Consumer disputes are resolved under consumer protection law. Other disputes are referred to the court at the Provider's location.

The parties are released from liability for the duration of force majeure circumstances.

11. Changes to this offer

The Provider may amend this offer. The new version applies to Subscriptions taken out after it is published on this page, and to earlier Subscriptions from their next paid period. The date of the last change is shown at the top.
